EMPLOYEE NON-SOLICITATION AGREEMENT

The undersigned employee agrees to, neither directly nor indirectly, solicit any clients, or potential clients that have received proposals from XXXXXXXX Inc. (The Company), except on behalf of, and with the approval of, The Company.  This includes the period of time throughout my employment and for a period of one (1) year after the last day of my employment, notwithstanding the cause or reason for termination.  

With this understanding, The Company will, or may, in relying on this agreement, provide me with certain proprietary items, trade secrets, customer information and other confidential materials and information.
